Madrasa, LLC is an academic advising limited liability company that provides resources for premedical, medical, and graduate students seeking a career as a physician-scientist. These Terms and Conditions (“Terms, “Terms and Conditions”) govern your relationship with the https://jakekhoussine.com website (“Website”), Madrasa, LLC (“Jake Khoussine”, “us”, “we”, “our”), and our products, Services (defined below), and Courses (defined below).

Please read these Terms and Conditions carefully before using our Website, engaging in our products, Services, and Courses, or any form of transaction with us. Your access to and use of the Website, our products, Services, and Courses, or any form of transaction is based on your acceptance of and compliance with these Terms. These Terms apply to all visitors, users, businesses, and others who access or use this Website, our products, Services, or Courses, or form any type of relationship or transaction with us.

These legally binding Terms apply to our Websites and our Consulting Services listed here [https://jakekhoussine.com/services/] (“Services”) and our courses for pre-med and medical students listed here [https://jakekhoussine.com/courses/] (“Courses”).  By using our Websites, Services and Courses, you hereby acknowledge and accept these Terms. If you do not agree to these Terms, you should not use the Website, Services, or Courses. We reserve all rights not expressly granted to you in these Terms.

Our goals and Services, Courses, and other products put forth our best efforts to maximize your odds of achieving your academic and professional goals. While our Services, Courses, and other products are provided with the intention to enhance customers’ chances of success, it is important to note that all decisions regarding grades, applications, interviews, and other academic or professional matters are handled by external parties, to which Madrasa, LLC has no affiliation. Our Services and Courses are provided to assist customers with a variety of aspects of their admissions processes and medical careers, however we do not in any capacity complete customers’ applications on their behalf, write letters of recommendation, personal statements, autobiographical sketches, CVs, resumes, guarantee course grades, test scores, admissions decisions, or any other personal or professional outcome. Jake Khoussine does not serve on the admissions committee of the University of Wisconsin in any capacity, and Jake Khoussine abstains from making any contributions to the admissions decisions regarding any of his clients and mentees at the University of Wisconsin-Madison MSTP and School of Medicine and Public Health.

Madrasa, LLC is not affiliated with, nor does Madrasa, LLC endorse, any of the organizations or companies referenced or mentioned on our Websites, Services, or Courses, including but not limited to universities, colleges, residency programs, medical schools, official test administrators, or any other external websites, unless otherwise explicitly stated. The views stated in our products belong to Jake Khoussine and are separate from Jake Khoussine's affiliation with the University of Wisconsin-Madison MSTP, the School of Medicine and Public Health, the Department of Ophthalmology and Visual Sciences, and the Cellular and Molecular Biology Graduate Program.

Our Services and Courses are provided remotely via phone, email, video call, or other online media. If in-person consultation is desired, the customer assumes all responsibility for travel expenses, responsibility, and any possible and related damages, including but not limited to any injuries or financial loss arising from travel to or participation in such in-person sessions. Madrasa, LLC hereby disclaims any and all responsibility for such damages. Services are valid for only one application cycle.

User Agreement

These legally binding Terms and Conditions, as may be revised, amended, and updated from time to time at our sole discretion, apply to our Website, products, and Services or Courses. All changes are effective immediately when posted, and apply to all access to and use of the Website thereafter. Your continued use of the Website following the posting of revised Terms and Conditions means that you accept and agree to the changes. You are expected to check this page from time to time so that you are aware of any changes, as they are binding on you.

Restrictions of Use

In order to use Madrasa, LLC Services, Courses, or other products, you must:

1. Be 13 years of age or older
2. Have the power to enter binding agreement(s) with Madrasa, LLC, without restrictions by applicable laws.

You may not access our Websites or Services, Courses, or other products or use the information contained in our Websites or Services, Courses, or other products for any illegal purpose or in any manner inconsistent with these Terms. Your use of our Websites and services must not alter the original content of our Websites or Services, Courses, or other products. You agree not to access our Websites or Services, Courses, or other products or use the information contained herein for resale or other transfer or disposition to, or use by or for the benefit of, any other person or entity. You agree not to use, transfer, distribute, or dispose of any information contained in our Websites or Services, Courses, or other products in any manner that could compete with our business.

You are not permitted to decompose, decompile, reverse engineer, disassemble, or otherwise deconstruct all or any portion of our Websites. You may not publish, broadcast, retransmit, reproduce, repackage, commercially exploit, create any derivative of, or otherwise redistribute all or any portion of our Websites or Services, Courses, or other products except as explicitly permitted in these Terms.

License

In exchange and subject to your payment of the appropriate subscription cost or purchase price of our Services, Courses, or other products and your agreement with the Terms set forth herein, Madrasa, LLC grants you a non-exclusive and non-transferable license to use and access Madrasa, LLC content (the “Licensed Materials”) from multiple devices or locations. You are not allowed to access the Madrasa, LLC content from multiple devices or locations concurrently. Access of Madrasa, LLC Licensed Materials concurrently constitutes account sharing, and appropriate action will be taken as defined below in this agreement.

You are not allowed to assign, share, lease, or otherwise transfer your right to use Licensed Materials. Madrasa, LLC accounts are monitored for multiple concurrent login attempts. In the event that we, at our sole discretion, believe that an account is being used by multiple different users, we reserve the right to terminate the account without notice or refund.

Subscription Term

You have the right to access the Licensed Materials for which you have purchased a subscription or access, for the duration of said subscription or access period. Content and materials are provided on an “as is” basis, but these pages may change during the course of a subscription or access period, subject to updates, or changes at our sole discretion.

Your subscription or access cannot be suspended and reactivated at a later date. you must use the material within the period of your subscription, and no extensions or refunds are offered in exchange for unused time.

Upon the termination of your subscription or access period, your right to use and access the Licensed Materials will expire automatically. Renewals may be offered for purchase as a continuation to the current subscription, but not for later use at a future date after the current term has expired. For extensions to be successful, they must be executed prior to the subscription period’s expiration date.

User Account/Password and Security

To use Madrasa, LLC and our Services, Courses, or other products, you must complete our registration process, requiring complete, accurate, and current information as requested.

You are responsible for the accuracy of the data provided and are responsible for generating and maintaining the security of your password and account.

You agree to notify Madrasa, LLC immediately if there are suspicions of unauthorized use of your account or any other breach. We are not liable for losses that may be incurred as a result of unauthorized account usage.

Access from Outside the United States

Madrasa, LLC is designed and directed to people residing in the United States. We do not represent availability or appropriateness in other locations. We may limit the availability of the Website or our Services, Courses, or other products to any person or geographic area at any time. If you choose to access the Website from outside the United States, you do so at your own risk.

Reasonable Use

Madrasa, LLC and our Services, Courses, or other products are intended for individual use. The Services, Courses, or other products are designed to facilitate learning and performance of the specified test, or improve the outcomes of the designated application process (hereafter referred to as “normal” product usage).Usage of Madrasa, LLC Services, Courses, or other products which does not fall under reasonable or normal product usage may result in action taken against the account, at Madrasa, LLC’ sole discretion.

Violation of These Terms

In the event the terms of this agreement are breached, Madrasa, LLC may, at its sole discretion, terminate this agreement, your access to the Websites, and any Services, Courses, or other products to you without refund. Madrasa, LLC reserves the right to pursue any remediation by law for such violations, and we may provide law enforcement with information you provide to us related to your transactions to assist in any investigation or prosecution of you. We may take legal action that we feel is appropriate. You agree that monetary damages may not provide us a sufficient remedy and that we may pursue injunctive or other relief for your violation of these Terms.

Ownership

All licensed materials on the Website, including all intellectual property rights, are the exclusive property of Madrasa, LLC. In accepting these Terms, you do not become the owner of the licensed materials, but are entitled to use them according to these Terms.

Disclaimer of Warranties

We provide the Website and Services, Courses, or other products to you “as is”. We try to keep the Websites available, safe, and bug-free, but you use it at your own risk. To the fullest extent permissible by law, we disclaim all warranties, express or implied, including any warranty of title, non-infringement, accuracy, fitness for any particular purpose, or warranties that may arise from course of dealing or performance or usage of trade. We cannot and do not guarantee that the Websites will remain safe, secure, or error-free. We cannot and do not guarantee that the Websites will be without disruptions, delays, or imperfections. We do not guarantee the quality or standard of any of the content, including any blog posts, content on the Websites, or in our newsletters and social media. We are not responsible for the actions or information of third parties, and you release us from any claims and damages, known and unknown, arising out of or connected in any way with such third parties. IF YOU ARE A CALIFORNIA RESIDENT, YOU WAIVE CALIFORNIA CIVIL CODE §1542, WHICH SAYS: A GENERAL RELEASE DOES NOT EXTEND TO CLAIMS WHICH THE CREDITOR DOES NOT KNOW OR SUSPECT TO EXIST IN HIS OR HER FAVOR AT THE TIME OF EXECUTING THE RELEASE, WHICH IF KNOWN BY HIM OR HER MUST HAVE MATERIALLY AFFECTED HIS SETTLEMENT WITH THE DEBTOR.

Severability

If any provision of these Terms is held by a court of competent jurisdiction to be contrary to law, the remaining provisions of these Terms will remain in full force and effect. Without limiting the generality of the preceding sentence, if any remedy set forth in these Terms is determined to have failed of its essential purpose, then all other provisions of these Terms, including the limitation of liability and exclusion of damages shall remain in full force and effect.

Force Majeure

We will not be deemed to be in breach of these Terms or liable for any breach of these Terms or our Privacy Policy due to any event or occurrence beyond our reasonable control, including without limitation, acts of God, terrorism, war, invasion, failures of any public networks, electrical shortages, earthquakes or floods, civil disorder, strikes, fire, pandemics or epidemics (whether or not already active at the time you accept these Terms), act of government (including but not limited to “shelter in place,” “travel ban,” “quarantine” or “shutdown” orders, whether or not already active at the time you accept these Terms) or other disaster.

No Waiver

The failure of Madrasa, LLC to insist upon strict enforcement of any provision of these Terms shall not be construed as a waiver of any provision or right.

Linked Internet Sites

Madrasa, LLC is not responsible for the content, behavior, and risk associated with other internet websites linked from our Websites or Services, Courses, or other products. You may access other Internet sites linked at your own risk.

Entire Agreement

These Terms, including any documents incorporated into these Terms by reference, constitute the entire agreement between you and Madrasa, LLC regarding the subject matter of these Terms and supersede all prior agreements and understandings, whether written or oral, or whether established by custom, practice, policy or precedent, with respect to the subject matter of the Terms. If you are an Advisor performing the Services or Courses under a separate agreement with Madrasa, LLC, that agreement shall remain in effect under the provisions therein, except to the extent provisions of these Terms and that agreement conflict, the provisions of these Terms will control.

Advisor Scheduling and Availability

Advisors perform the Services under agreement with Madrasa, LLC (collectively “Advisors”) and have complete discretion in selecting the dates and times during which they perform the Services. Timelines listed on product or service pages are a guideline but not a guarantee. Customers will be responded to within 192 hours of established contact. Typical edit turnaround is to be expected at 72 hours, however Madrasa, LLC reserves the right to delay the receipt of Services up to the 192 hour window. Phone-call and online video consultations and discussions must be scheduled at least 2 business days in advance. Mock interviews are to be scheduled with at least 96 hours advanced notice. Expedited service is offered with a rush fee option.

Cancellations

To avoid fees and forfeiture of Services, 2 business days advance notice is required from customers for any rescheduling or cancellation. If a cancellation or rescheduling is desired after the 2 business days time window, customer may be charged a fee or may be required to forfeit the service which was scheduled.

Application and Essay Editing Services

Madrasa, LLC will not write or complete customers’ essays or applications in any capacity. Madrasa, LLC will provide assistance and feedback in the process through editing and revising. The customer certifies that all written passages, such as the personal statement and descriptions of work/activities, are their own and have not been written, in part or in whole, by a third party.

All editing packages, whether 1 edit, 3 edit, unlimited edits, or any other number of edits, are designed for a single essay type. A single editing package cannot be used to edit multiple different pieces of writing. For example, a 3-edit personal statement package provided 3 edits on a single personal statement, rather than 2 edits of a single personal statement and 1 edit of a separate personal statement.

Application Editing packages, whether for AMCAS, AACOMAS, TMDSAS, ERAS, or SFMATCH, only apply to the general application components, excluding the personal statement, which can be purchased as a separate service. School-specific or program-specific questions, whether received before or after submitting the primary application, are considered secondary application questions, and would fall under Secondary Application Editing services.

Confidentiality and Privacy

Confidential information of the customer, including customers’ name, email, contact information, school or college attended, grades, test scores, or background information will not be released beyond our team or to certain of our service providers, including but not limited to the Advisor who perform the Services or Courses and the payment processors, without the consent of the customer. By using the Services, you hereby acknowledge and agree to our Privacy Policy, available at [https://jakekhoussine.com/privacy-policy/]. However, Madrasa, LLC cannot guarantee the security of all electronic communications via the internet. In the event of compromised or breach in security, Madrasa, LLC will not be held responsible for any damages or liability.

Termination of Services

Either party may terminate the agreement for services through written notice provided to the other party.

Service Timeline

Services must be used in the admissions cycle for which they are intended. Services may be used up to 1 year from purchase date. Any unused Services beyond 1 year from purchase will be forfeited without refund or credit.

Refunds

For Purchases Made 2021/12/16 and Prior

All sales are final. Refunds, minus cancellation and administrative fees, and resource fees may be issued as credit to be used in future Madrasa, LLC purchases in instances where the purchased service is not used, within 30 days of purchase. Credit may be used for future Madrasa, LLC purchases for a period of one year from initial purchase date. Credit may only be applied to services for the same customer of the original purchase. Services purchased but not used beyond this window are unable to be transferred, refunded, or credited toward other Madrasa, LLC services.

For Purchases Made 2021/12/17 and After

At Madrasa, LLC, it is our goal to provide exceptional service and a premium experience. If we have not met your expectations, you may initiate a refund under the following guidelines:

– All refunds must be initiated within 30 days of purchasing a service or product. After 30 days and within 1 year from purchase, unused services may be redeemed as “Madrasa, LLC credit”, less any cancellation, administrative fees, or other incurred costs. No refund or credit is granted after 1 year from initial purchase.
– Courses are eligible for refund within 7 days of purchase, unless otherwise stated. Courses are not subject to refund or “Madrasa, LLC credit” after their return window.– Madrasa, LLC credits can be used towards any Madrasa, LLC services, courses, or products within 1 year from purchase. Credit may only be used for the same customer of the original purchase.
– Refunds or credit cannot be issued for partially or fully rendered services.
– The refund or credit amount is determined at the sole discretion of Madrasa, LLC. Refunds or credits are issued after deducting any rendered services. Any additional costs incurred by Madrasa, LLC, such as resource fees or subscriptions will be deducted from the refunded or credited amount. All refunds are subject to an additional 5% administrative and processing fee.
– Credits expire after 1.5 years from initial purchase date. Any unused credits will expire thereafter and no refunds will be issued.
– Credits can be used toward any Madrasa, LLC service, course, or product. Once Madrasa, LLC credit has been redeemed, it cannot be converted, refunded, or changed to another service or credit.

Non-Transferability

Services cannot be transferred, exchanged, or assigned by the customer to any other individual.

No Guarantee

While Madrasa, LLC aims to provide effective advising, editing, and tutoring Services, Madrasa, LLC does not guarantee any specific outcome. The Services provided by Madrasa, LLC do not guarantee any improved chances of admission to medical school, residency, or other personal or professional success.

Customer Responsibility

The customer is solely responsible for his/her/their application and professional success in its entirety. This responsibility includes submission, deadlines, criteria, and other factors relating to medical school admissions, residency program admissions, test scheduling and accommodations, research endeavors, and other factors. Madrasa, LLC does not take responsibility for missed deadlines, incorrect or invalid information, or any direct or indirect possible or perceived detrimental effect to customers’ personal or professional pursuits.

Comprehensive Admissions Packages

Packages are valid for use during the immediate application cycle, and not multiple application cycles. Students may purchase a package at any time, but use of said package is valid earliest from 6 months prior to the earliest submissions date of the application type, and lasts through the end of said application cycle. Partial usage of a package prior to or during one application cycle may subject customer to forfeiture of remaining services.

Third Party Trademark Disclosures

MCAT is a registered trademark of the Association of American Medical Colleges (AAMC), which does not endorse Madrasa, LLC or its methodology. Madrasa, LLC is not endorsed by or affiliated with the National Board of Medical Examiners (NBME) or Federal State Medical Boards. “USMLE” is a trademark of the NBME and is used pursuant to the Fair Use Doctrine.

Additional Disclosures

This website contains links and references to products and Services or Courses that may include affiliates, sponsorships, or other business relationships in which Madrasa, LLC may receive compensation from referrals or sales actions. The advice provided through our products reflect the opinions of Jake Khoussine and Madrasa, LLC. The opinions expressed are separate from the University of Wisconsin-Madison MSTP, School of Medicine and Public Health, and graduate school affiliates.

Notice of Copyright Infringement

If you believe that any content on our Websites infringe on any copyright which you own or control, or that any link on the Websites directs users to another website that contains material that infringes on any copyright which you own or control, you may file a notification of such infringement with us as set forth below. In accordance with the Digital Millennium Copyright Act (“DMCA”), we will respond promptly to notices of alleged infringement that are reported to Madrasa, LLC.  Notifications should include the following information:

A physical or electronic signature of a person authorized to act on behalf of the owner of an exclusive right that is allegedly infringed.
Identification of the copyrighted work claimed to have been infringed, or, if multiple copyrighted works are covered by a single notification, a representative list of such works.
Identification of the material that is claimed to be infringing or to be the subject of infringing activities and that is to be removed or access to which is to be disabled, and information sufficient to permit us to locate the material.
Contact information for the notifying party, including name, address, telephone number, and email address.
A statement that you have a good faith belief that use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law.
A statement that the information in the notification is accurate, and under penalty of perjury, that you are authorized to act on behalf of the owner of an exclusive right that is allegedly infringed.

Additional Terms

I agree to the following: In purchasing Madrasa, LLC Services, Courses or other products, I release Madrasa, LLC and its associated contractors, managers, consultants, employees, and affiliated entities (“Representatives”) from liability and waive my right to sue Madrasa, LLC or its representatives from any and all claims. Madrasa, LLC does not guarantee that (1) its Websites, Services, Courses or other products will be uninterrupted or error free, (2) defects or errors in the Websites, Services, Courses or other products will be corrected, (3) the Websites, Services, Courses or other products will be free from harmful components, (4) any information provided in the Websites, Services, Courses or other products will be accurate. Madrasa, LLC and its Representatives assume no responsibility for the timeliness, deletion, or failure in communications made through the Madrasa, LLC Websites, Services, Courses or other products. I hereby indemnify and hold Madrasa, LLC harmless from all claims, liabilities, damages, and expenses arising out of or related to  customer’s use of the Websites, Services, Courses or other products. To the extent available under applicable laws, Madrasa, LLC will be entitled to recover its court costs and reasonable legal costs incurred in successfully proving any breach of any term of this these Terms.

Madrasa, LLC reserves the right at any time and from time to time to modify or discontinue any Website, Service, Course or other product without prior notice. Madrasa, LLC reserves the right to suspend or terminate any customer’s use of the Websites, Services, Courses or other product, for any reason or for no reason.

All Services, Courses and other products require full payment prior to any Services, Courses, or products being rendered, or provided to customer. Services, Courses and other products are non-transferrable. Advice, content, and materials are the intellectual property of Madrasa, LLC.

Non-Disparagement

Customer and customer’s representatives agree to take no action which is intended, or would reasonably be expected, to harm Madrasa, LLC or its reputation or lead to unfavorable publicity to Madrasa, LLC.
